SARL or SUARL? The Choice That Makes a Difference in Your Business!
SARL or SUARL in Tunisia (2026): partners, capital, management, decisions, fully online RNE registration. A clear comparison to pick the right form.
A SUARL is a single-member SARL: you are the only owner and the only decision-maker. A SARL has 2 to 50 partners. In both cases, liability is limited to contributions and the capital is freely set in the articles of association.
Choose a SUARL if you are starting on your own. Choose a SARL if you have one or more partners from day one, or plan to bring in investors soon.
The comparison in 6 points
Number of partners: SUARL, one; SARL, 2 to 50.
Liability: limited to contributions in both. Your personal assets are not at stake, except for personal guarantees or management misconduct.
Capital: freely set in the articles in both forms; it must be fully paid up and deposited with a bank in the company's name at incorporation.
Management: one or more managers for a SARL, partners or not; in a SUARL, the sole partner may be the manager or appoint a third party.
Decisions: partners vote in a general meeting in a SARL; the sole partner's decisions are recorded in a register in a SUARL.
Limit: an individual may be the sole partner of only one SUARL.
The SARL in detail
The SARL is governed by the Commercial Companies Code (Law No. 2000-93 of 3 November 2000). It has at least two and at most fifty partners. If the number exceeds fifty, the company must convert into a public limited company (SA) within one year; otherwise any interested party may seek its dissolution.
The former TND 1,000 minimum capital has been abolished: partners set the capital freely. The manager is appointed in the articles or by a later decision of the partners. Each year, 5% of net profit goes to the legal reserve until it reaches 10% of the capital.
A SARL suits a project with several founders: the articles organise the split of shares, voting rules and the entry of new partners.
The SUARL in detail
A SUARL follows the SARL rules unless specific provisions apply (Article 148 of the Commercial Companies Code). It is commercial by form, whatever its purpose.
Two specific rules matter. An individual may form only one SUARL (Article 149, amended by Law No. 2019-47 of 29 May 2019). The sole partner exercises the powers of the partners' meeting, cannot delegate them, and their decisions must be signed and recorded in a special register; otherwise they are void (Article 154).
A SUARL suits a consultant, trader or founder who starts alone and wants to separate personal assets from the business.
Switching from one to the other
The initial choice is not final. If all the shares of a SARL end up with one person, the company continues as a SUARL. Conversely, if the sole partner transfers part of their shares to a new partner, the company has several partners and its articles must be adapted.
Every change (share transfer, new manager, amended articles) must be filed with the National Business Register (RNE).
Which form for your project?
You are starting alone and want full control: SUARL.
You have two or more founders: SARL, with articles that set share-transfer and exit rules.
You plan to raise funds soon: SARL, or a SUARL converted when the first investor joins.
You already own a SUARL and start a second business alone: a second SUARL is not possible for an individual; another form is needed.
Setting up a SARL or SUARL in 2026
Since 1 July 2026 the RNE no longer accepts paper files: incorporation and all changes are filed on the RNE online platform with a digital identity (Mobile ID or DigiGo). Documents are signed electronically; the company stamp and town-hall certification of signatures are no longer required.
The file must include the beneficial owner declaration required by Law No. 2018-52 of 29 October 2018 on the RNE. Steps, documents and fees are covered in our guide "SUARL in Tunisia: Documents, Steps and RNE Registration Fees".
Mistakes to avoid
Setting up a SARL with a nominal partner to avoid a SUARL: that person becomes a real partner with rights in the company.
Drafting SARL articles without clauses on share transfers and a partner's exit.
Failing to record the sole partner's decisions in the register: they are void.
Mixing personal and company accounts: protecting personal assets requires a clear separation.
