An IT services company generates invoices in its accounting software, signs them electronically and sends them through the national platform.
When your business falls within your country's mandatory e-invoicing scope.
In Tunisia, e-invoices pass through the Tunisia TradeNet (TTN) platform and must be signed with a recognised certificate; since 2026 the obligation covers businesses and professionals subject to VAT.

A process that identifies the signatory of a digital document, expresses their consent and ensures the link with the signed document. It can be simple, advanced or qualified depending on the level of identity verification and security, and its evidential weight depends on that level and the applicable law.
A Tunisian SME sends a service contract to a client in Dakar, who signs it from their phone within minutes.
To sign contracts, quotes and HR documents faster, especially remotely.
In Tunisia, keeping an electronic document has the same evidential value as keeping a written document (Law No. 2000-83, art. 4).

Source: TunTrust – TunstampWith E-Tafakna: E-Tafakna signature records the date and time of each signature in the document's history.
An employment contract that ends on a set date or once a specific task is completed. Most legal systems limit it to specific cases, such as replacing an absent employee or a temporary increase in activity, and convert it into a permanent contract when those rules are breached.
An online retailer hires two order pickers on fixed-term contracts to handle the sales-season peak.
Before any temporary hire: check that the reason is permitted in the country concerned.
Since Law No. 2025-9, fixed-term contracts are allowed in Tunisia only in three specific cases.

A carrier cannot deliver a client's goods while the authorities keep a port closed.
In supply, transport and long-term contracts exposed to external events.

It is usually sent by registered letter or served by a bailiff.
A communications agency sends a formal notice to a client who has not paid three invoices, giving it fifteen days to pay.
Before taking legal action or terminating a contract for non-payment or late delivery.
In Tunisia, the debtor is in default as soon as the due date set in the contract passes; where no date is set, the creditor must first make a demand (COC, arts. 268 and 269).

The national law chosen by the parties, or failing that designated by conflict-of-laws rules, to govern the contract: its validity, interpretation and effects. The choice is decisive in international contracts because rules differ widely between countries.
A Tunisian startup selling a software subscription to a Moroccan client states that the contract is governed by Tunisian law.
In any contract with a party based in another country.
Tunisia is not a party to the UN Convention on Contracts for the International Sale of Goods (CISG): in an international sale, the governing law should be chosen expressly.
Source: UNCITRAL – Status of the CISG (Vienna, 1980)With E-Tafakna: Hannibal includes a governing law clause consistent with the jurisdiction or arbitration clause, and Elyssa explains the consequences of each option.
A clause in which one party undertakes to cover losses, costs or third-party claims suffered by the other party in defined situations. It differs from a limitation of liability clause, which instead reduces what can be claimed.

With E-Tafakna: Hannibal includes IP assignment clauses in your freelance and service contracts, and Elyssa explains what you actually own.
A clause designating the court or courts competent to decide disputes arising from the contract. It avoids arguments over jurisdiction and is distinct from governing law, which determines the law applied to the merits. Its validity depends on the country's procedural rules, particularly where a consumer or employee is involved.
A distribution contract gives the courts of Tunis exclusive jurisdiction over any dispute between the manufacturer and its distributor.
In commercial contracts, especially when the parties are based in different cities or countries.
With E-Tafakna: Hannibal aligns governing law, competent court and any arbitration clause to avoid contradictions.
The checks by which an institution identifies its customer, verifies their identity against documents and, for a company, identifies its beneficial owners. Required of banks, insurers and other regulated professions, it helps prevent fraud, money laundering and terrorist financing.
Before opening an account for a new SUARL, a bank asks for its articles, its business register extract and the manager's ID.
When opening a bank account, partnering with a fintech or integrating a payment service.

Before launching a payments app, a startup maps its obligations on personal data, anti-money laundering and customer contracts.
At all times, and especially before a launch, a funding round or a contract with a large corporate client.
With E-Tafakna: Elyssa researches the legislation that applies to your business, and Kahina answers your day-to-day compliance questions.

With E-Tafakna: Hannibal drafts a letter of intent that clearly separates firm commitments from points still to be negotiated.
A clause that caps or excludes certain compensation owed for a breach, for example by setting a maximum amount or excluding indirect losses. Its reach is limited: it generally cannot cover fraud or gross negligence.

In any commercial contract where a mistake on your side could prove costly for the other party, or the reverse.
With E-Tafakna: Hannibal includes a balanced limitation clause, and Elyssa flags one-sided caps in contracts you receive.
The time after which a legal claim can no longer be brought. Its length varies by country and by the type of debt or claim, and certain acts, such as an acknowledgment of debt or filing a lawsuit, can interrupt it.
An SME finds an invoice that has been unpaid for several years: before chasing the client, it checks that the claim is not time-barred.
As soon as an invoice goes unpaid or a dispute arises: waiting may cost you your rights.
With E-Tafakna: Elyssa researches the limitation period that applies to your situation in the relevant country's legislation.
An amicable method of resolving disputes in which a neutral third party, the mediator, helps the parties reach their own solution. The mediator does not decide: any settlement binds the parties only once they sign it. The process is usually confidential, faster and less costly than litigation.
A client and an agency in disagreement over the invoicing of an ad campaign call in a mediator and sign a settlement after two sessions.
When you want to preserve the business relationship or avoid the time and cost of a lawsuit.
With E-Tafakna: Hannibal includes an amicable settlement clause with a mediation step before any legal action, and Elyssa helps you prepare for the discussion.

Before signing with a new supplier, an SME checks the RNE to confirm that it exists and to verify its identifier and managers.
When you set up your business, at every change and before contracting with an unfamiliar partner.
The RNE, governed by Law No. 2018-52, includes a register of beneficial owners, and companies must file the list of their beneficial owners on registration.
Source: Tuniscope – National Business Register (September 2026)With E-Tafakna: Elyssa guides you through RNE registration and updates, and Hannibal includes each party's identifier in your contracts.
A clause preventing a party, often an employee, a partner or the seller of a business, from carrying on a competing activity for a set period and within a set area. To be valid it must generally be limited in time, place and scope and proportionate to the interests protected; some countries also require financial compensation for employees.

With E-Tafakna: Hannibal sets the length and terms of notice in your contracts, and Elyssa helps you work out which notice applies to your situation.
A clause fixing in advance the sum a party must pay if it fails to perform or performs late. It removes the need to prove the amount of loss and encourages deadlines to be met. In several civil law systems a court may reduce or increase a manifestly excessive or derisory amount, while common law courts may refuse to enforce a clause that punishes rather than pre-estimates loss.
An app development contract sets a fixed amount per day of delay after the delivery date, capped at a percentage of the price.

A document drawn up and signed by the parties themselves, without a public officer. It proves the signatories' agreement, but carries less evidential weight than an authentic deed, and its date may need a formality, such as registration, to be enforceable against third parties. Most everyday commercial contracts are private agreements.
Two partners sign an acknowledgment of debt between themselves: it is a private agreement, which they can have certified and registered to strengthen it.
For almost all your commercial contracts: services, NDAs, sales, employment contracts.
With E-Tafakna: E-Tafakna contract templates produce private agreements you sign online with E-Tafakna signature.

For high-stakes documents, contracts with public bodies or banks, and any document whose proof must be beyond dispute.

A company whose capital is divided into shares and whose shareholders bear losses only up to their contributions. More regulated than a SARL, with a board of directors or management board and a statutory auditor, it suits projects raising significant funds or aiming for a stock market listing.
A fintech preparing a funding round with several investors converts its SARL into an SA to issue shares.
When you plan to bring in many investors or go public.

The name given to laws granting a label and benefits to young innovative companies: tax incentives, easier access to funding, leave for employed founders. Tunisia adopted its own in 2018, and other African countries have followed with their own legislation.
A Tunisian logistics startup obtains the label, allowing its co-founder, employed by a large company, to take leave to work on it full time.
From the moment you set up an innovative company, to check whether it can obtain the label and its benefits.

Before committing to a long-term or automatically renewing contract.
With E-Tafakna: Hannibal offers termination clauses for breach and for convenience, with clearly defined notice and exit consequences.
Two ways of ending a contract that should not be confused. Rescission (résolution in civil law) unwinds the contract, in principle retroactively, usually for a serious breach, and requires each party to return what it received. Termination (résiliation) ends the contract for the future only and mainly applies to ongoing contracts such as a lease or a subscription.
